TERMS OF SERVICE

This Terms of Service Agreement ("Agreement" or "Terms") is a legally binding contract between you ("User," "you," or "your") and Wordspace.io, LLC, a Texas limited liability company ("Wordspace.io," "we," "our," or "us"). By accessing, creating an account on, or using any portion of the Wordspace.io website, platform, or related applications (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including the Privacy Policy, Data Processing Addendum, and Acceptable Use Policy (if applicable). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" and "your" will refer to that entity. If you do not agree to these Terms, you must not use the Service.
1. ACCEPTANCE OF TERMS
1.1 This Agreement governs all access to and use of the Service.
1.2 Continued use constitutes acceptance of any updates made pursuant to Section 21.0.
2. DEFINITIONS
For purposes of this Agreement:
- "Account" means a unique registration established by User for access to the Service.
- "Affiliate" means any entity that controls, is controlled by, or is under common control with a party.
- "API" means Wordspace.io's application programming interfaces and related Documentation.
- "Authorized User" means an individual who is authorized by User to access the Service.
- "Beta Feature" means any Service functionality identified by Wordspace.io as experimental or pre-release.
- "Confidential Information" means all non-public information disclosed by one party to the other that is marked or reasonably understood to be confidential.
- "Content" means URLs, QR codes, images, logos, metadata, analytics, and other materials submitted to or generated by the Service.
- "Controller," "Processor," and "Personal Data" have the meanings set forth in applicable data-protection laws.
- "Documentation" means the technical and operational guides published by Wordspace.io.
- "Service Data" means usage, diagnostic, and performance data collected through the Service.
- "Subprocessor" means a third party engaged by Wordspace.io to process data on its behalf.
- "Subscription Plan" means the selected free or paid tier governing User's access to the Service.
3. SCOPE OF SERVICES
Wordspace.io provides a cloud-based software platform enabling Users to generate and manage QR codes, shorten and redirect URLs, perform link and campaign analytics, manage custom domains and workspaces, and integrate with third-party applications via API or SDK. The Service includes the web application, API endpoints, analytics infrastructure, data storage, and ancillary features such as email notifications and support. Wordspace.io may add, modify, or discontinue features at its discretion. Hosting and delivery may involve partners including Cloudflare, Vercel, Supabase, and Railway, and Wordspace.io does not guarantee continuous availability of such infrastructure.
4. ACCOUNT REGISTRATION AND ACCESS
You must create an Account to use the Service and provide accurate information. You are responsible for maintaining the confidentiality of your credentials and all activity under your Account. For corporate Accounts, the organization remains liable for actions of Authorized Users. Wordspace.io may audit Accounts to verify compliance with plan limits.
5. FEES, PAYMENT, AND TAXES
All fees are processed via Stripe and are due in advance. Subscriptions renew automatically unless canceled prior to renewal. Refunds may be requested within seven (7) days of initial payment and are granted solely at Wordspace.io's discretion. Overdue amounts may accrue interest at 1.5% per month (or the maximum allowed by law). User is responsible for all taxes except those based on Wordspace.io's income.
6. ACCEPTABLE USE AND LEGAL COMPLIANCE
Users shall use the Service only in accordance with applicable law. Prohibited uses include malware distribution, phishing, spam, infringement, or unauthorized data scraping. Users shall not resell the Service or circumvent usage quotas without written consent. Violation of this Section may result in immediate termination without refund.
7. DATA PRIVACY AND PROTECTION
Processing of Personal Data is governed by Wordspace.io's Privacy Policy, Data Processing Addendum, and Standard Contractual Clauses. Wordspace.io acts as Processor for Customer data and may engage Subprocessors for hosting, infrastructure, and email delivery. Aggregated and anonymized data may be retained indefinitely for analytics and product improvement.
8. INTELLECTUAL PROPERTY
The Service, software, interfaces, designs, and all related intellectual property are owned by Wordspace.io and its licensors. User retains rights to originating URLs and uploaded assets but grants Wordspace.io a worldwide, royalty-free license to host and process such Content as necessary to operate the Service. No license is granted to reverse engineer, modify, or create derivative works of the Service.
9. THIRD-PARTY SERVICES AND OPEN SOURCE
The Service may interoperate with third-party APIs or libraries, subject to third-party terms. Wordspace.io is not responsible for failures of such third parties or its Subprocessors. Open-source software components are licensed under their respective licenses.
10. USER FEEDBACK AND SUGGESTIONS
By submitting Feedback, you grant Wordspace.io a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and commercialize such Feedback without attribution or compensation. Feedback is not confidential and may be incorporated into products.
11. SERVICE AVAILABILITY AND SUPPORT
Wordspace.io uses commercially reasonable efforts to maintain availability but does not guarantee uninterrupted service. Maintenance windows may limit access. Support is provided via support@wordspace.io or in-app channels during business hours.
12. CONFIDENTIALITY
Each party shall protect the other's Confidential Information with the same degree of care it uses for its own. Confidential Information excludes data that is public, independently developed, or lawfully obtained without restriction. Obligations survive termination for three (3) years.
13. TERMINATION AND SUSPENSION
Either party may terminate for cause upon 30 days' notice if the other fails to cure a material breach. Wordspace.io may suspend access immediately for non-payment, security risk, or legal requirement. Upon termination, User must cease use of the Service. Aggregated analytics may be retained.
14. BETA SERVICES AND EXPERIMENTAL FEATURES
Beta Features are provided solely for evaluation, may be modified or withdrawn at any time, and are offered "as is" without warranty.
15. REPRESENTATIONS AND WARRANTIES
Each party represents it has authority to enter this Agreement. Wordspace.io warrants it will provide the Service using commercially reasonable skill and care. Except as expressly stated, all warranties are disclaimed.
16. INDEMNIFICATION
User shall defend and indemnify Wordspace.io from claims arising out of User's use of the Service or breach of this Agreement. Wordspace.io shall defend and indemnify User against third-party claims that the Service infringes intellectual property rights, provided Wordspace.io controls the defense. This Section states the entire liability for IP claims.
17. LIMITATION OF LIABILITY
Neither party is liable for indirect, incidental, consequential, or special damages, including lost profits or data. Wordspace.io's aggregate liability shall not exceed fees paid by User in the twelve (12) months preceding the claim. Exclusions include breaches of confidentiality and indemnification obligations.
18. FORCE MAJEURE
Wordspace.io shall not be liable for delay or failure due to causes beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or internet outages.
19. EXPORT COMPLIANCE AND SANCTIONS
The Service is subject to U.S. export laws. User represents it is not a prohibited party and will not use or export the Service in violation of law.
20. DISPUTE RESOLUTION AND GOVERNING LAW
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Disputes shall first be submitted to Mediation in Jefferson County, Texas; if unresolved, to Binding Arbitration; and if necessary, to Litigation in the courts of Jefferson County, Texas. Each party consents to jurisdiction and venue therein.
21. MODIFICATION OF TERMS
Wordspace.io may amend these Terms at any time. Material changes will be announced via email or in-app notification. Continued use after the effective date constitutes acceptance of the updated Terms.
22. MISCELLANEOUS
Assignment: Neither party may assign without written consent, except to a successor in interest. Independent Contractors: The parties are independent contractors. Waiver: Failure to enforce a right does not constitute waiver. Severability: If any provision is unenforceable, the remainder remains in full force. Entire Agreement: These Terms, the Privacy Policy, and all referenced documents constitute the entire agreement between you and Wordspace.io.
